Big Sales Seller Agreement

This Seller Agreement ("Agreement") is made and entered into by and between Big Sales ("Platform") and the seller ("Seller"). By registering as a Seller on Big Sales, the Seller agrees to be bound by the terms and conditions set forth in this Agreement.

Seller Registration and Product Listing

• Registration: The Seller must complete the registration process to create an account on the Platform. The Seller agrees to provide accurate and complete information during the registration process and to update such information to keep it accurate and complete.
• Product Listing: The Seller is responsible for listing their products on the Platform. The Seller must provide accurate product descriptions, prices, and other required details. The Seller has the discretion to set the price for each product.

Seller Responsibilities

• Compliance with Laws: The Seller agrees to comply with all applicable laws and regulations in connection with the sale of products on the Platform.
• Product Quality and Authenticity: The Seller warrants that all products listed for sale are authentic, of good quality, and free from defects. Counterfeit products are strictly prohibited.
• Inventory Management: The Seller is responsible for maintaining accurate inventory levels. The Seller must update the inventory status promptly to reflect product availability.
• Order Fulfillment: The Seller agrees to fulfill orders promptly and efficiently. The Seller is responsible for shipping products to buyers in a timely manner and for providing accurate tracking information.

Commission and Payment

• Commission Rate: The Platform will charge a commission fee of 30% to 35% on each product sale. The exact commission rate will be determined based on the product category and other factors as specified by the Platform.
• Payment Processing: Payments for product sales will be processed by the Platform. The Platform will collect payments from buyers and disburse the proceeds, minus the applicable commission, to the Seller.
• Payment Schedule: The Platform will disburse payments to the Seller every 15 days. Payments will be made on the 15th and the last day of each month, subject to the successful delivery of products and confirmation by buyers.
• Refunds and Returns: The Seller agrees to handle returns and refunds in accordance with the Platform’s policies. The Platform reserves the right to deduct any refunds issued to buyers from the Seller’s account.

Seller Security

• Account Security: The Seller is responsible for maintaining the security of their account credentials. The Seller must immediately notify the Platform of any unauthorized use of their account.
• Data Protection: The Platform will implement reasonable measures to protect the Seller’s data. However, the Seller acknowledges that no data transmission over the internet is completely secure, and the Platform cannot guarantee the absolute security of the Seller’s data.

Platform Policies

• Prohibited Products: The Seller agrees not to list or sell any prohibited products as defined by the Platform’s policies.
• Intellectual Property: The Seller must ensure that their product listings do not infringe on any third-party intellectual property rights. The Seller will indemnify and hold the Platform harmless from any claims related to intellectual property infringement.
• Customer Service: The Seller is responsible for providing customer service to buyers. The Seller must respond to buyer inquiries and resolve any issues in a timely manner.

Termination

• Termination by Seller: The Seller may terminate this Agreement at any time by providing written notice to the Platform and ceasing to use the Platform’s services.
• Termination by Platform: The Platform may terminate this Agreement or suspend the Seller’s account at any time for any reason, including but not limited to violations of this Agreement or the Platform’s policies.

Miscellaneous

• Amendments: The Platform reserves the right to amend this Agreement at any time. The Seller will be notified of any amendments, and continued use of the Platform will constitute acceptance of the amended Agreement.
• Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Platform operates.
• Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved through amicable negotiations. If the parties are unable to resolve the dispute, it shall be referred to mediation or arbitration as agreed upon by the parties.
• Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter herein.
